Welcome to Nivaya (nivaya.uk, the "Site"). These Terms of Service ("Terms") govern your access to and use of the Site and the purchase of products from us. The Site is operated by Unity Digital Group LLC, a Limited Liability Company incorporated in the State of Wyoming, United States, ("Nivaya", "we", "us", "our").

By accessing the Site, creating an account, or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. About Us

Nivaya sells stainless steel semi-jewellery and accessories (rings, necklaces, bracelets, earrings, and similar items) online at nivaya.uk. We currently ship to customers in the United Kingdom.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to place an order on the Site. If you are under 18, you may only use the Site with the involvement of a parent or guardian.

3. Products and Pricing

All products are subject to availability. We reserve the right to discontinue any product at any time.
We make every effort to display product colours, finishes, and dimensions accurately; however, actual appearance may vary slightly due to photography, screen settings, or the handmade nature of some items.
Prices are displayed in GBP (£) and include applicable UK VAT unless stated otherwise. Delivery charges are shown separately at checkout.
We reserve the right to change prices at any time, but changes will not affect orders already confirmed.
In the unlikely event a product is listed at an incorrect price due to a technical or clerical error, we reserve the right to cancel the order and issue a full refund.

4. Orders and Acceptance

Placing an order through the Site constitutes an offer to purchase. All orders are subject to acceptance by us. We will send you an order confirmation email; this confirms receipt of your order but does not constitute acceptance. A contract is formed only when we send you a shipping confirmation email indicating your order has dispatched, or otherwise confirm acceptance. We reserve the right to refuse or cancel any order at our discretion (for example, in cases of suspected fraud or pricing errors), in which case we will notify you and issue a full refund of any amount charged.

5. Payment

Payments are processed securely through Shopify Payments. By providing payment information, you confirm that you are authorised to use the payment method provided. We do not store your full card details.

6. Shipping and Delivery

We currently ship to addresses within the United Kingdom.
Estimated delivery times will be shown at checkout and are provided for guidance only; they are not guaranteed.
Risk in the products passes to you upon delivery. Ownership of the products passes to you once we have received full payment.
If a delivery is delayed due to an event outside our control, we will contact you as soon as possible and are not liable for delays caused by the courier or events beyond our reasonable control.

7. Returns, Refunds, and Cancellation

Your rights to cancel, return, and receive a refund are set out in full in our separate Return & Refund Policy, which forms part of these Terms and reflects your statutory rights under the UK Consumer Contracts Regulations 2013 and the Consumer Rights Act 2015.

8. Intellectual Property

All content on the Site — including the Nivaya name and logo, product photography, graphics, text, and design — is owned by or licensed to Unity Digital Group LLC and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or use any content from the Site for commercial purposes without our prior written consent.

9. Acceptable Use

You agree not to:

Use the Site for any unlawful purpose or in violation of these Terms.
Attempt to gain unauthorised access to the Site, our systems, or other users' accounts.
Upload or transmit any viruses, malicious code, or harmful content.
Use automated means (bots, scrapers) to access the Site without our permission.

We may suspend or terminate your access to the Site if we reasonably believe you have breached these Terms.

10. Consumer Rights

Nothing in these Terms affects your statutory rights as a consumer under UK law, including under the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013. If any product you receive is faulty, not as described, or unfit for purpose, you may be entitled to a repair, replacement, price reduction, or refund, in addition to any rights described in our Return & Refund Policy.

To the fullest extent permitted by law:

We provide the Site and products on an "as is" and "as available" basis.
We are not liable for any indirect, incidental, or consequential loss arising from your use of the Site or products, including loss of income, business, or data.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under UK law.
Our total liability for any claim arising from your order shall not exceed the total amount you paid for the relevant order.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles, except that if you are a consumer resident in the United Kingdom, you will also benefit from any mandatory protections provided by the laws of your country of residence, which this clause does not affect, and you may bring proceedings in the courts of your local jurisdiction in the UK.
